Introduction
These Terms of Service ("Terms") govern your use of sourcing support services provided by TIOSOS ("Company", "we", "us", or "our"). By engaging our services, you ("Client", "you", or "your") agree to be bound by these Terms.
TIOSOS is a China-based sourcing and supply chain support partner, helping global buyers manage sourcing activities through a clear and structured process. We provide B2B sourcing coordination, quality review, and logistics support services.

We act as your single point of contact for China sourcing, from requirements to shipment coordination.

Service Scope Definition
TIOSOS provides the following B2B sourcing support services:
Product Sourcing
Supplier matching and product sourcing coordination
Factory Review
Background review and compliance assessment
Quality Review
Inspection coordination and quality reports
Logistics Support
Shipping coordination and export documentation
Important Notice:
TIOSOS does not engage in retail sales or direct product manufacturing. We provide sourcing coordination and support services only. We do not assume direct responsibility for product production, sales, or end-customer transactions.

Fees and Payment Terms
Service fees are customized based on project scope, product categories, and service requirements. Specific fee structures will be outlined in individual service agreements.
Fee Determination Factors:
- • Project scope and complexity
- • Product categories and sourcing requirements
- • Service level and support intensity
- • Order volume and coordination requirements
Payment terms, methods, and schedules will be specified in your individual service agreement. All fees are quoted in USD or RMB as agreed.

Liability Limitations
TIOSOS provides sourcing coordination and support services. Our liability is limited to the coordination and communication role we perform.
Force Majeure and External Factors:
For risks arising from force majeure events including but not limited to policy changes, logistics delays, factory production issues, natural disasters, or government actions, TIOSOS assumes coordination responsibility only and does not bear direct financial liability for resulting losses.
Our maximum liability for any claim shall not exceed the total service fees paid by the client for the specific project in question.
TIOSOS is not liable for:

Termination Clauses
Either party may terminate the service relationship under the following conditions:
Client-Initiated Termination:
- Changes in business requirements
- Unsatisfactory service performance
- 30-day written notice for ongoing projects
TIOSOS-Initiated Termination:
- Non-payment of agreed fees
- Failure to provide required information
- Violation of these Terms
Upon termination, work completed to date will be delivered, and fees for completed services remain payable.

Applicable Law and Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of the People's Republic of China.
Dispute Resolution Process:
- 1. Good faith negotiation and direct communication
- 2. Mediation through recognized commercial mediation services
- 3. Arbitration in China under applicable arbitration rules
Any legal proceedings shall be conducted in Chinese courts with jurisdiction over TIOSOS business operations.
